The announced merger between Lottomatica and Cirsa could mark an important step in the consolidation of the European gaming market.

The transaction comes at a time when the market is becoming increasingly concentrated and international, with economies of scale, geographical diversification and technology investments playing an increasingly important role.

Alongside the industrial aspects, the competition and regulatory dimensions will also be key: from potential overlaps across different markets and business segments to compliance, consumer protection, anti-money laundering and data management issues.

De Berti Jacchia advised Elettrica Ravasio on the transaction that will lead to its acquisition by Gruppo Everest, an Italian industrial platform specialising in electrification support services and backed by Vam Investments.

The transaction, which is subject to the completion of the required regulatory and authorisation procedures, involves the sale of Elettrica Ravasio and other companies operating in the same sector. It forms part of Gruppo Everest’s consolidation strategy aimed at strengthening its expertise and expanding its presence across Italy.

Elettrica Ravasio was advised by Benedetta Mazzotti, who handled the corporate legal aspects of the transaction.

Mordiglia Law Firm and De Berti Jacchia advised Gaston-Schul International BV, a company specialized in customs services, trade compliance, and international trade solutions with a well-established European presence, in its acquisition of Parodi Forwarding Srl, a historic Genoa-based company operating in the customs services and international freight forwarding sector.

The transaction enables Gaston-Schul to strengthen its presence in the Italian market by integrating the know-how and expertise of a long-established company active in customs and international forwarding services. The acquisition forms part of the group’s broader European growth strategy, aimed at expanding its customs and trade compliance service offering and consolidating its presence in key international logistics hubs.

Through this transaction, Gaston-Schul further reinforces its position as an independent operator in the customs services and international trade sector, while also enhancing the expertise and entrepreneurial heritage of the Genoese business community.

Japanese group Nabtesco Corporation, a company specializing in motion control systems, has sold Oclap S.r.l., an Italian company active in the production of doors and opening systems for the railway sector, to Lenbach Equity Opportunities III KG, a fund managed by DUBAG Investment Advisory.

ABS – Acciaierie Bertoli Safau, through its subsidiary Rott-Ferr, has acquired 100% of the share capital of R. Casini, a company active for over forty years in the collection, processing, and commercialization of ferrous and metallic materials, based in Feletto Umberto (UD).

The transaction is part of ABS’s strategy to strengthen its scrap supply chain, initiated in 2023, and enables the creation of the largest regional hub for scrap management, with a total capacity of approximately 200,000 tons per year. The deal aligns with the group’s vertical integration strategy and reflects the growing importance of ferrous scrap for the European steel industry, in a context shaped by evolving Italian and European regulations concerning exports and the control of secondary raw materials.

The sellers were assisted by Studio De Berti Jacchia, with a team led by partner Claudio Corba Colombo, together with managing associate Benedetta Mazzotti on corporate M&A matters, and Ferruccio di Lenardo on financial aspects.

De Berti Jacchia assisted, respectively, Egea New Energy S.p.A., a company of the Iren Group, and S.A.R. S.r.l., as sellers, and Biomethanbrown Cremona 1 S.p.A. (a company of the Andion Group), as purchaser, in the transfer of the entire share capital of Biometano Cella Dati S.r.l., owner of a biomethane plant located in the Municipality of Cella Dati with a capacity of 4.2 m³.

De Berti Jacchia assisted Andion with a team led by Marco Frazzica and Giuseppina Zoccali.

De Berti Jacchia has advised Olyos Group, an international player and a leading company in the natural health sector, as well as the fifth-largest operator in the French market for food supplements distributed in pharmacies and para-pharmacies, on the acquisition of Somatoline, a historic dermocosmetics brand in Italy, previously owned by Manetti & Roberts, a company controlled by the Bolton Group.

Through this transaction, Olyos strengthens its presence in the dermocosmetics sector and, leveraging strategic commercial and operational synergies, aims to accelerate its expansion in the Italian and European markets.
