(a company of the Andion Group), as purchaser, in the transfer of the entire share capital of Biometano Cella Dati S.r.l., owner of a biomethane plant located in the Municipality of Cella Dati with a capacity of 4.2 m³.

DE BERTI JACCHIA ADVISES ANDION ON THE ACQUISITION OF A MAJORITY STAKE IN THE ENERLAND BIOGAS PLANT

De Berti Jacchia advised Biomethan Brown Cremona 1 S.p.A., part of the Andion CH4 group, on the acquisition of 95% of the share capital of Enerland S.r.l., a company that owns a biogas plant located in the province of Bologna.

The transaction enables Andion to expand its European portfolio of renewable energy infrastructure through a project that will convert organic waste streams into low-carbon energy via an anaerobic digestion process for the production of renewable biomethane, in line with the 2022 Biomethane Legislative Decree.

The initiative contributes to national decarbonisation targets and strengthens local energy security, as part of Andion’s strategy to develop a European platform of biomethane assets.

The De Berti Jacchia team that assisted the Andion group in the transaction was composed of lawyers Marco Frazzica and Giuseppina Zoccali, who handled all phases of the negotiation and completion of the deal, with the support of Antonella Terranova and Camillo Campli for regulatory matters, Cristina Fussi for contractual aspects relating to feedstock supply, and Isabella Basilico for employment law matters.

DE BERTI JACCHIA WITH INDUTRADE IN THE ACQUISITION OF CAT RICAMBI

Indutrade AB, an international industrial and technology group listed on the Nasdaq Stockholm and operating through more than 220 companies across Europe, has completed the acquisition of 100% of the share capital of CAT Ricambi S.r.l., a company based in Modena and active in the automotive aftermarket segment.

CAT Ricambi operates in the distribution of original spare parts and components for Italian, French, Japanese, and Korean car brands in the Italian market, generating approximately €30 million in annual revenues and employing 38 people.

The transaction strengthens Indutrade Group’s presence in Northern Italy and further consolidates the Group’s Industrial & Engineering cluster in the automotive sector.

Law firm De Berti Jacchia, with a team composed of attorneys Marco Frazzica and Giuseppina Zoccali, assisted Indutrade AB in the transaction, advising on all phases of the negotiation and execution.

The transaction represents the third acquisition within Indutrade’s Italian expansion strategy.

Andion CH4 Renewables Srl has reached financial close on a hybrid private credit facility (corporate finance, acquisition finance, project finance and debt issuance) totalling €67 million, provided by Goldman Sachs Alternatives (Private Credit), aimed at supporting the development of its short‑term pipeline in Italy and the Nordic countries.

The transaction represents an important milestone in Andion’s growth as a European operator in the biomethane sector and fits within the broader context of strengthening renewable energy production infrastructure in Europe. The financing will enable the company to accelerate the development of its projects in its core markets.

Law firm De Berti Jacchia, with a team led by Giuseppe Cristiano, supported by Marco Frazzica and Giuseppina Zoccali for corporate matters and comprising also Federico Neri, assisted the Andion group and its Italian subsidiaries in the transaction, handling the legal aspects of the financing and the related negotiations with the lender and with Italian and foreign financial and legal advisors.

OpenEconomics S.r.l., an independent consulting firm specializing in integrated solutions for socioeconomic impact analysis and public funding management, has acquired 100% of the share capital of t33 S.r.l., a company active in the evaluation of EU-funded policies and programs.

The law firm De Berti Jacchia, with attorneys Marco Frazzica and Matteo Bilei, assisted t33 and its ten selling shareholders in all legal aspects throughout the various stages of the transaction.

The deal is part of OpenEconomics’ growth strategy to position itself as a leading platform in impact analysis and support for the green transition, also following the entry into its share capital in 2024 of Algebris Investments, which made a strategic equity investment in the company.

With the addition of t33 to the group, OpenEconomics strengthens its position in the European market by expanding its specialized expertise in public policy evaluation and consolidating an end-to-end model to support institutions and public organizations involved in managing complex investment programs.

t33 will continue to operate with its existing team and offices, maintaining its commitments to clients and partners, while benefiting from the greater scale, operational capabilities, and digital tools provided by the OpenEconomics group.

De Berti Jacchia Law Firm, with Avv. Marco Frazzica and Avv. Giuseppina Zoccali, assisted Andion Italy S.r.l., Italian subsidiary of Andion CH4 (European leader in proven energy recovery solutions )in the negotiation with SOL S.p.A., for the acquisition by the latter (through its controlled company Airsol S.r.l.) of a 20% stake in BIOMETHAN GREEN 1 – SOCIETÀ AGRICOLA, a subsidiary of Andion Italy S.r.l. and holder of the authorizations for the construction and operation of a plant for the production of liquid biomethane (bio-LNG) from livestock biomass and agricultural by-products located in Mirandola, in the province of Modena.

The partnership agreement includes the supply of the whole bio-LNG, which will be produced by the Mirandola plant, exclusively to SOL S.p.A. (one of Italy’s leading producers of technical, industrial, and medical gases) for subsequent marketing in Italy and across Europe , targeting clients in the mobility and industrial sectors: also in respect of such aspects Andion Italy S.r.l. was assisted by De Berti Jacchia, with Avv. Cristina Fussi.

With a total investment of over 20 million euros, the plant is under construction, with completion expected by the first half of 2026.

The new partnership will allow SOL S.p.A. to strengthen its portfolio of sustainable cryogenic liquid gases and represents for Andion Italy S.r.l. a significant endorsement, confirming the strength of its technical and commercial expertise in the Italian biomethane market. These capabilities are highly synergistic with SOL’s know-how in achieving shared goals for environmental sustainability.

De Berti Jacchia, with a team composed by the attorneys Marco Frazzica and Giuseppina Zoccali, supported in the due diligence by a group led by attorney Matteo Bilei, assisted Indutrade Group, in the negotiation of an agreement to acquire all participations in the Italian company SLT srl, www.sltsrl.com, with annual sales of approximately EUR 7.5 million (SEK 85 million).

SLT is a technical trading company offering testing and safety control devices for the medical technology and healthcare sectors. The company specializes in products for safety and performance verification of medical equipment and bioimaging, complemented with calibration services and training programs. Customers include OEM’s which produce medical equipment, global service providers and hospitals. SLT was founded in 1949, has 19 employees and is located in Milan, Italy.

The closing is expected to take place during Q3 2025. SLT will be included in Indutrade’s Business Area Life Science. The acquisition will be Indutrade’s fifth in 2025 and is expected to have a marginally positive impact on Indutrade’s earnings per share.

Milan / Bassano del Grappa, July 22, 2024 – NCAB Group Italy S.r.l. has signed the agreement for the acquisition of DVS S.r.l. in Italy and DVS Pacific Limited in Hong Kong. The purchase price amounts to approximately 200 million Swedish crowns, with a potential additional earnout of about 45 million Swedish crowns. The acquisition is expected to have a positive impact on NCAB Group’s earnings for 2025, with synergies in the areas of suppliers, payment terms, and logistics.

Founded in 1993, the Swedish NCAB Group is a world leader in the production of printed circuit boards (PCBs) and is listed on the NASDAQ Stockholm. DVS S.r.l. was founded in 2003 and has its main office in Bassano del Grappa, Italy, as well as offices in Switzerland and Hong Kong. Annual revenue amounts to approximately 240 million Swedish crowns. Sales are primarily directed towards Italian customers in the industrial and automotive sectors.

The buyers were assisted by De Berti Jacchia law firm with partner Marco Frazzica and senior associate Giuseppina Zoccali, supported by associate Matteo Bilei, while regulatory and FDI aspects were handled by partner Antonella Terranova, together with associate Ilaria Sgrilli; labor law aspects were followed by partner Gaspare Roma and associate Isabella Basilico.

PwC TLS assisted the buyers with tax aspects of the transaction with a team composed of partner Simone Marchiò and senior manager Mariangela Cottali.

Pirola Pennuto Zei & Associati assisted the sellers, with a team led by partner Yuri Zugolaro, supported, for all tax aspects of the transaction, by partner Marco Michielon and counsel Daniela Gobbo, while associate partner Lorenzo Destro, counsel Davide Rubino, and senior associate Lavinia Fanan followed the legal aspects.
