The law firm De Berti Jacchia has assisted Contship Italia Group, a leading operator in the logistics and intermodal sector, in the acquisition of STS S.r.l., a Genoa-based company specializing in customs brokerage and consulting through a complex transaction that also included 100 % of the subsidiaries S.P.C S.r.l. and Oliaro S.r.l.

The transaction represents a strategic step in the Contship Group’s expansion and vertical integration process, aimed at consolidating a logistics ecosystem capable of offering high value-added services, from terminal management to intermodal transport and customs consulting.

Contship was assisted on legal matters by lawyers Giuseppina Zoccali and Rachele Maggi, with client partner Tiziana Zona of the law firm De Berti Jacchia, in coordination with Contship’s in-house legal team led by Martina Pivetti, the Group’s Legal Affairs & Compliance Director.

With the addition of STS, the Contship Group significantly expands its portfolio of integrated customs solutions, which will now also include assistance and advice on national, European, and CBAM customs regulations, AEO services, operational management of import/export procedures, and customs audits.

Milan 23 January 2023 – De Berti Jacchia, with a team formed by partner Tiziana Zona (for tax aspects) and lawyers Rachele Maggi and Giuseppina Zoccali (for legal aspects) assisted the Contship group and in particular the subsidiary SO.GE .MAR S.p.A. (“SOGEMAR”) in an articulated transaction which involved, among other things, the purchase and sale of 10% of the share capital of RHM S.p.A. – company of the Contship group based in Melzo (MI) – to KOMBIVERKEHR Deutsche Gesellschaft für kombinierten Güterverkehr mbH & CO KG (“KOMBIVERKEHR”). SOGEMAR retains 90% of the shares.

RHM S.p.A., leading company in the European market of intermodal services, manages the Melzo terminal at the gates of Milan and within the Contship network, has the role of connection between the maritime connections to and from some of the main Italian ports and the national and international continental connections.

The transaction marks the start of a strategic commercial partnership between KOMBIVERKEHR and SOGEMAR with the aim of combining the skills and resources of both of the companies involved, creating a solid foundation for achieving ambitious and successful goals.

With this acquisition Chargeurs Museum Solutions confirms its leadership, housing a unique range of products and arts solutions in the world of cultural, luxury and prestige brands.

De Berti Jacchia team – which assisted Chargeurs Museum Solutions on all legal aspects of the transaction – was headed by the partners Michelangelo Cicogna and Claudio Corba Colombo, assisted by the employment partner Andrea Sonino and the senior associates Rachele Maggi and Benedetta Mazzotti.

Go. Trans is a transport company, established in 1979, which originates from the evolution of Gobbi Trasporti, founded in 1947 by Franco Gobbi.

The agreement provides for the gradual integration of the traditional business of Go. Trans within the new digital model of driveMybox, with the aim of bringing together the 40-year experience of Go. Trans with the innovative nature of the digital platform.

Si tratta di un affitto di ramo di azienda, con impegno preliminare per il successivo acquisto, di 23 negozi di ottica diffusi prevalentemente in Toscana (oltre che in Emilia, Lazio e Liguria) ad esito di una procedura di concordato preventivo. L’operazione consentirà al gruppo Pearle (ed alla sua controllata italiana Avanzi Holding, operante in Italia sotto il marchio “Ottica Avanzi”) di consolidare la sua presenza sul mercato italiano raggiungendo il numero complessivo di 145 punti vendita nonché di salvaguardare circa 65 posti di lavoro. L’operazione è stata condotta dal socio Giuseppe Cristiano, insieme ai soci Michelangelo Cicogna, per gli aspetti lavoristici, e Massimiliano Gazzo, per quelli fiscali, coadiuvati dagli associates Rachele Maggi e Carlotta Pontecorvo.
