Milan / Bassano del Grappa, July 22, 2024 – NCAB Group Italy S.r.l. has signed the agreement for the acquisition of DVS S.r.l. in Italy and DVS Pacific Limited in Hong Kong. The purchase price amounts to approximately 200 million Swedish crowns, with a potential additional earnout of about 45 million Swedish crowns. The acquisition is expected to have a positive impact on NCAB Group’s earnings for 2025, with synergies in the areas of suppliers, payment terms, and logistics.

Founded in 1993, the Swedish NCAB Group is a world leader in the production of printed circuit boards (PCBs) and is listed on the NASDAQ Stockholm. DVS S.r.l. was founded in 2003 and has its main office in Bassano del Grappa, Italy, as well as offices in Switzerland and Hong Kong. Annual revenue amounts to approximately 240 million Swedish crowns. Sales are primarily directed towards Italian customers in the industrial and automotive sectors.

The buyers were assisted by De Berti Jacchia law firm with partner Marco Frazzica and senior associate Giuseppina Zoccali, supported by associate Matteo Bilei, while regulatory and FDI aspects were handled by partner Antonella Terranova, together with associate Ilaria Sgrilli; labor law aspects were followed by partner Gaspare Roma and associate Isabella Basilico.

PwC TLS assisted the buyers with tax aspects of the transaction with a team composed of partner Simone Marchiò and senior manager Mariangela Cottali.

Pirola Pennuto Zei & Associati assisted the sellers, with a team led by partner Yuri Zugolaro, supported, for all tax aspects of the transaction, by partner Marco Michielon and counsel Daniela Gobbo, while associate partner Lorenzo Destro, counsel Davide Rubino, and senior associate Lavinia Fanan followed the legal aspects.

Pirola Corporate Finance S.p.A. assisted the seller with financial aspects and the structuring of the transaction with a team composed of founding partner Mario Morazzoni, director Stefano Righetti, analyst Antonio Visioli, and junior analyst Pasquale Alessandro.

By issuing Directive (EU) 2019/1152 on transparent and predictable terms and conditions of employment in the European Union the EU legislator aimed at further standardising the labour market within the Member States by introducing minimum requirements concerning, on the one hand, the information on the essential elements of the employment relationship and, on the other hand, the terms and conditions of employment applicable to each single worker.

The Transparency Act (Legislative Decree No. 104 of June 27^th, 2022), transposing Directive (EU) 2019/1152, focussed on both the above profiles by expanding the set of information as formerly contemplated by Legislative Decree No. 152 of May 26th, 1997, to be given to the workers, and by enhancing certain legal protections in favour of the workers.

On the one side, the Transparency Act imposes on the employers and their consultants to review their standard contracts and supplement them with the additional information contemplated therein, with a view to overcoming the rather widespread practise of delivering a simple letter of employment to the newly hired employee frequently containing no more than generic references to the relevant provisions of the applicable collective bargaining agreement. Moreover, the Transparency Act imposes on the employer toreview and supplementing the information notice on the processing of personal data to be submitted to their workers in case of use of automated decision-making or monitoring systems.

On the other side, upon certain conditions the Transparency Act allows employees to combine more than one job even if hired under a full-time employment contract. As a result, the template contracts used by the employers will now have to be reviewed even in this respect, detailing the cases in which according to the law the discharging of multiple jobs will not be permitted.

Finally, the Transparency Act contains a provision in matter of “transition to more predictable, safe and stable forms of work” envisaging new rights of the employees, even though at this stage the scope of such new rights is not yet clearly defined. For sure this provision will further restrict the possibility to resort to forms of contracts other than open-ended employment contracts – including self-employment contracts and fixed-term employment contracts – further narrowing in such a fashion the verily poor level of flexibility of the Italian employment law system.

Milan, 5 July 2022 – De Berti Jacchia assisted EA Pharma, one of the leading French pharmaceutical group active in the oligotherapy, sports nutrition and food supplement industries, in the acquisition of Stardea Srl, a leading Italian player active in the distribution and marketing of nutraceutical products, including food supplements, medical devices and dermo-cosmetics, belonging to the Cooper Consumer Health Group.

The goal of the transaction was that of strengthening the position of EA PHARMA in the direct distribution of its products in Italy by combining activities and resources, as well as by exploiting synergies already existing in this domain of business.

De Berti Jacchia team – which assisted EA Pharma on all legal aspects, structuring and coordinating the overall transaction – was headed by the Dispute and Employment partner Michelangelo Cicogna, together with the M&A partner Claudio Corba Colombo, assisted by the employment partner Andrea Sonino and the senior associates Benedetta Mazzotti and Isabella Basilico.

EA Pharma advisor for French law-related issues was G | C | A – Cabinet d’Avocats with a team headed by Alexandre Gaudin, assisted by the associate Pauline Céard.

The tax and financial aspects were covered by PWC, with a team composed by Martin Naquet-Radiguet (PWC France) and Nicola Broggi and Pietro Bertolotti (PWC Italy).

The seller, Versailles BV, was assisted on the M&A side by Oaklins (Banco BPM group) with Antoine Lemaire, Paolo Russo, Loris Gabrielian, Charlotte Delphis and Nicholas Bolzoni, and, on the legal and tax side, by Studio Associato Furlotti with a team headed by Gigetto Furlotti (name partner), Fabrizio Pizzola (founder partner), Paolo Delieti (senior partner) together with Filippo Mattioli (associate).
