De Berti Jacchia has advised Olyos Group, an international player and a leading company in the natural health sector, as well as the fifth-largest operator in the French market for food supplements distributed in pharmacies and para-pharmacies, on the acquisition of Somatoline, a historic dermocosmetics brand in Italy, previously owned by Manetti & Roberts, a company controlled by the Bolton Group.

Through this transaction, Olyos strengthens its presence in the dermocosmetics sector and, leveraging strategic commercial and operational synergies, aims to accelerate its expansion in the Italian and European markets.

De Berti Jacchia assisted Olyos Group on all legal and tax aspects of the transaction with a multidisciplinary team led by partner Claudio Corba Colombo, supported by senior associate Benedetta Mazzotti for corporate M&A matters. Partners Antonella Terranova and Pietro Meda handled administrative law and pharmaceutical regulatory aspects, respectively.

DE BERTI JACCHIA ADVISES ANDION ON THE ACQUISITION OF A MAJORITY STAKE IN THE ENERLAND BIOGAS PLANT

De Berti Jacchia advised Biomethan Brown Cremona 1 S.p.A., part of the Andion CH4 group, on the acquisition of 95% of the share capital of Enerland S.r.l., a company that owns a biogas plant located in the province of Bologna.

The transaction enables Andion to expand its European portfolio of renewable energy infrastructure through a project that will convert organic waste streams into low-carbon energy via an anaerobic digestion process for the production of renewable biomethane, in line with the 2022 Biomethane Legislative Decree.

The initiative contributes to national decarbonisation targets and strengthens local energy security, as part of Andion’s strategy to develop a European platform of biomethane assets.

The De Berti Jacchia team that assisted the Andion group in the transaction was composed of lawyers Marco Frazzica and Giuseppina Zoccali, who handled all phases of the negotiation and completion of the deal, with the support of Antonella Terranova and Camillo Campli for regulatory matters, Cristina Fussi for contractual aspects relating to feedstock supply, and Isabella Basilico for employment law matters.

De Berti Jacchia advised Trench Group, an international group active in the development of components and technologies for high-voltage power transmission infrastructure, in the acquisition of 100% of the share capital of Enerlux Power S.r.l., an Italian company specialized in the production of power capacitors and power factor correction systems for medium- and high-voltage applications.

The transaction represents a further step in Trench Group’s growth strategy. The group currently employs more than 2,900 people and operates 10 production plants and 4 regional hubs, thereby strengthening its portfolio of technologies dedicated to the reliability and quality of power grids.

The De Berti Jacchia team, which assisted Trench Group on all legal aspects of the transaction, was led by partners Chiara Caliandro and Claudio Corba Colombo, supported by senior associate Benedetta Mazzotti. DE BERTI JACCHIA IN ANDION CH4’S €24 MILLION PROJECT FINANCING

Andion CH4 has finalized a €24 million project financing transaction aimed at the construction of a biomethane production plant using agricultural waste in Mirandola, Modena, in the Emilia-Romagna region.

The transaction was structured by a banking pool composed of BNL BNP Paribas, acting as Mandated Lead Arranger, Original Lender and Facility Agent, and Mediocredito Centrale, acting as Original Lender, as part of Andion CH4’s European development plan in the biomethane sector. The financing forms part of the company’s industrial strategy focused on building an infrastructure platform dedicated to the development, construction and operation of anaerobic digestion plants for the production of low-carbon biomethane.

De Berti Jacchia Law Firm advised the Andion group, Biomethan Green Società Agricola S.r.l. and Airsol S.r.l., on the transaction, handling in particular the negotiations with the banking pool and the legal aspects of the financing, as well as the drafting and negotiation of all agreements required for the construction, commissioning and operation of the plant. De Berti Jacchia assisted SogeMi S.p.A., the company that manages the Agri-Food Market and Neighborhood Markets on behalf of the Municipality of Milan, in connection with the redevelopment of the municipal market on Via Rombon, in Milan’s Lambrate district.

The initiative is part of the broader “Neighborhood Markets” project launched by the Municipality of Milan and entrusted to Sogemi, which envisages the redevelopment of 15 market buildings and an investment plan of approximately €25 million.

The redevelopment of the Rombon market has led to the complete revival of the historic market, transforming it into a modern, accessible hub ready to once again become a point of reference for the Lambrate community.

The transaction represents a decisive step toward the modernization and enhancement of Milan’s neighborhood market system. The project aims to create a synergistic network of markets located across the city’s districts, revitalizing their original role as local retail hubs, integrated with the broader food hub managed by Sogemi, the leading agri-food center in Milan and Lombardy.

DE BERTI JACCHIA ASSISTS ROUTE220 IN THE AGCM PROCEEDING AGAINST ENEL X

AGCM fines Enel X over €2.3 million: abuse of dominant position found in the electric charging market. The complainant Route220 was assisted by the law firm De Berti Jacchia

The decision confirms the importance of interoperability and equal access to electric vehicle charging infrastructure in a market that is strategic for the ecological transition.

The Italian Competition Authority (AGCM) has fined Enel X S.r.l. and Enel X Way Italia S.r.l. jointly for a total of €2,305,102.35, finding an anticompetitive conduct of margin compression (so-called margin squeeze) in the electric vehicle charging services market.

The proceedings originated from a complaint filed by Route220 S.r.l., a company active since 2014 in the electric mobility sector under its proprietary brand “evway,” a pioneer in Italy in promoting interoperable charging models. The company was assisted during the proceedings by the law firm De Berti Jacchia, with a team composed of lawyers Antonella Terranova and Ilaria Sgrilli, as well as Prof. Fabio Ferraro.

The sanctioned conduct consisted of Enel X applying wholesale (roaming) rates reserved for competing operators (Mobility Service Providers – MSPs) that were higher than the retail prices charged to final consumers through the Enel X Way app. The Authority found that this practice violated Article 102 of the TFEU by compressing competitors’ operating margins, thereby hindering their access to or permanence in the market under fair competitive conditions.

With decision no. 31646 of 29 July 2025, the AGCM found the violation and ordered Enel X and Enel X Way Italia to refrain from similar conduct in the future.

The decision falls within the new European regulatory framework established by Regulation (EU) 2023/1804 (AFIR), which entered into force on 12 October 2023 and has been applicable since 13 April 2024. The Regulation reinforces the principle of non-discrimination in access to charging infrastructure, confirming the central role of interoperability and competition in the transition to sustainable mobility.

“This AGCM decision represents an important precedent for safeguarding pluralism and fairness in digital and infrastructure markets,” said Prof. Fabio Ferraro of De Berti Jacchia.

“It is essential that operators, even in emerging sectors such as electromobility, can access essential infrastructure under fair and non-discriminatory conditions.”

“This case confirms the concrete relevance of the new AFIR Regulation and the impact of contractual practices between vertically integrated operators and independent competitors,” added lawyer Antonella Terranova, who handled the proceedings together with lawyer Ilaria Sgrilli.

Milan / Bassano del Grappa, July 22, 2024 – NCAB Group Italy S.r.l. has signed the agreement for the acquisition of DVS S.r.l. in Italy and DVS Pacific Limited in Hong Kong. The purchase price amounts to approximately 200 million Swedish crowns, with a potential additional earnout of about 45 million Swedish crowns. The acquisition is expected to have a positive impact on NCAB Group’s earnings for 2025, with synergies in the areas of suppliers, payment terms, and logistics.

Founded in 1993, the Swedish NCAB Group is a world leader in the production of printed circuit boards (PCBs) and is listed on the NASDAQ Stockholm. DVS S.r.l. was founded in 2003 and has its main office in Bassano del Grappa, Italy, as well as offices in Switzerland and Hong Kong. Annual revenue amounts to approximately 240 million Swedish crowns. Sales are primarily directed towards Italian customers in the industrial and automotive sectors.

The buyers were assisted by De Berti Jacchia law firm with partner Marco Frazzica and senior associate Giuseppina Zoccali, supported by associate Matteo Bilei, while regulatory and FDI aspects were handled by partner Antonella Terranova, together with associate Ilaria Sgrilli; labor law aspects were followed by partner Gaspare Roma and associate Isabella Basilico.

PwC TLS assisted the buyers with tax aspects of the transaction with a team composed of partner Simone Marchiò and senior manager Mariangela Cottali.

Getzner invested in Isolgomma’s capital, becoming a 50% shareholder together with the Grazioli family, which retained the remaining 50% of the capital.
