DE BERTI JACCHIA IN ANDION CH4’S €24 MILLION PROJECT FINANCING

Andion CH4 has finalized a €24 million project financing transaction aimed at the construction of a biomethane production plant using agricultural waste in Mirandola, Modena, in the Emilia-Romagna region.

The transaction was structured by a banking pool composed of BNL BNP Paribas, acting as Mandated Lead Arranger, Original Lender and Facility Agent, and Mediocredito Centrale, acting as Original Lender, as part of Andion CH4’s European development plan in the biomethane sector. The financing forms part of the company’s industrial strategy focused on building an infrastructure platform dedicated to the development, construction and operation of anaerobic digestion plants for the production of low-carbon biomethane.

De Berti Jacchia Law Firm advised the Andion group, Biomethan Green Società Agricola S.r.l. and Airsol S.r.l., on the transaction, handling in particular the negotiations with the banking pool and the legal aspects of the financing, as well as the drafting and negotiation of all agreements required for the construction, commissioning and operation of the plant. The De Berti Jacchia team was led by partner Giuseppe Cristiano, assisted by partners Antonella Terranova and Cristina Fussi for public law and contractual matters related to the plant’s development.

Andion CH4 Renewables Srl has reached financial close on a hybrid private credit facility (corporate finance, acquisition finance, project finance and debt issuance) totalling €67 million, provided by Goldman Sachs Alternatives (Private Credit), aimed at supporting the development of its short‑term pipeline in Italy and the Nordic countries.

The transaction represents an important milestone in Andion’s growth as a European operator in the biomethane sector and fits within the broader context of strengthening renewable energy production infrastructure in Europe. The financing will enable the company to accelerate the development of its projects in its core markets.

Law firm De Berti Jacchia, with a team led by Giuseppe Cristiano, supported by Marco Frazzica and Giuseppina Zoccali for corporate matters and comprising also Federico Neri, assisted the Andion group and its Italian subsidiaries in the transaction, handling the legal aspects of the financing and the related negotiations with the lender and with Italian and foreign financial and legal advisors.

Laboratorio Farmaceutico SIT (“SIT”) announces the acquisition of the pharmaceutical product DERINOX from Therabel Lucien Pharma Sas, a reference medicine among topical decongestants.

The product is indicated for the short-term symptomatic local treatment of congestive and inflammatory conditions during acute rhinitis, in adults and adolescents over 15 years of age.

This acquisition will enable SIT to strengthen and expand its product portfolio, further consolidating its growth path and presence in the French market, establishing itself as a reliable partner in international acquisitions of mature branded pharmaceuticals.

SIT continues along its path of innovation and development, reinforcing its offering and international presence to meet the needs of patients and healthcare professionals with high-quality and reliable solutions.

The product is indicated for the symptomatic treatment of seasonal allergic rhinitis (hay fever), perennial allergic rhinitis, and urticaria.

This acquisition will allow SIT to strengthen and expand its product portfolio, significantly increasing its presence in the French market and consolidating its role as a reliable partner in international acquisitions of mature branded pharmaceuticals.

REVOLVING CREDIT CARDS: THE SUPREME COURT NULLIFIES UNLAWFUL CONTRACTS

A recent ruling by the Italian Supreme Court could pave the way for refunds to millions of consumers: all revolving credit card contracts signed between 2000 and 2010 and promoted by unauthorized parties may be declared null and void, allowing consumers to claim back the interest they paid.

To shed light on the situation, our expert Giuseppe Cristiano was interviewed and explained how cardholders can practically proceed to obtain a refund.

In particular, he stated:
"The way a revolving credit card works — which, to reiterate, involves a maximum credit limit and predetermined repayment installments calculated as a percentage of the actual amount used — means that, at least theoretically, the repayment period might not be defined or even definable. This is due to the cardholder’s ability to make monthly repayments which, by restoring the available credit within the repaid principal portion, allow for new spending (i.e., purchases or cash withdrawals) that will then be repaid over the following months."

Milano, 12 ottobre 2022 – De Berti Jacchia con il partner Massimiliano Gazzo e il partner Giuseppe Cristiano unitamente al senior counsel Alberto Castelli ha assistito il Consorzio CORIPET nell’operazione di finanziamento Green di 22ML con Garanzia SACE.

Il finanziamento è stato erogato da Crédit Agricole italia con il ruolo di arrenger e capofila, Banca Monte dei Paschi di Siena e UniCredit e sostenuto all’80% dalla Garanzia Green SACE in favore di CORIPET, il consorzio senza fini di lucro di produttori, converter e riciclatori di bottiglie in PET che con i suoi 56 consorziati rappresenta circa il 51,4% del comparto delle acque minerali, soft drink e latte, olio e succhi di frutta in Italia.

Le Banche Finanziatrici sono state assistite da Simmons & Simmons con un team composto dal partner Simone Lucatello, la managing associate Maria Ilaria Griffo, l’associate Flavia Spaziani Testa e i trainee Luigi Terenzio Trigona e Sabina Elia.

Obiettivo del finanziamento sono 860 nuovi eco-compattatori in tutta Italia per il riciclo a uso alimentare di bottiglie PET “bottle to bottle.

La liquidità ottenuta dal consorzio con sede a Milano – riconosciuto invia definitiva dal Mite- Ministero della Transizione Ecologia- del 2021 verrà utilizzata per acquistare e installare 860 eco-compattatori su tutto il territorio nazionale, al fine di contribuire al raggiungimento degli obiettivi inseriti nella direttiva SUP, che fissa importanti obiettivi: entro il 2025, dovrà essere raccolto il 77% di bottiglie PET immesse a consumo, percentuale che sale al 90% nel 2029; inoltre, a partire dal 2025 le bottiglie dovranno contenere almeno il 25% di R-Pet, per arrivare al 30% nel 2030.

La mission di CORIPET, consorzio EPR, è proprio quella di incrementare la raccolta e l’avvio a riciclo delle bottiglie in PET sia attraverso la raccolta differenziata, che attraverso gli eco-compattatori. L’innovativa raccolta selettiva permette ai cittadini di partecipare in maniera attiva al modello CORIPET “bottle-to-bottle” consegnando le bottiglie in PET su tutto il territorio favorendo l’aumento dei livelli di raccolta e riciclo delle bottiglie in PET per la produzione di RPET – pet riciclato- idoneo al diretto contatto alimentare.
