De Berti Jacchia advised Biomethan Brown Cremona 1 S.p.A., part of the Andion CH4 group, on the acquisition of 95% of the share capital of Enerland S.r.l., a company that owns a biogas plant located in the province of Bologna.
The transaction enables Andion to expand its European portfolio of renewable energy infrastructure through a project that will convert organic waste streams into low-carbon energy via an anaerobic digestion process for the production of renewable biomethane, in line with the 2022 Biomethane Legislative Decree.
The initiative contributes to national decarbonisation targets and strengthens local energy security, as part of Andion’s strategy to develop a European platform of biomethane assets.
The De Berti Jacchia team that assisted the Andion group in the transaction was composed of lawyers Marco Frazzica and Giuseppina Zoccali, who handled all phases of the negotiation and completion of the deal, with the support of Antonella Terranova and Camillo Campli for regulatory matters, Cristina Fussi for contractual aspects relating to feedstock supply, and Isabella Basilico for employment law matters.
