Luca primarily focuses on M&A and private equity, advising Italian and international clients on extraordinary transactions, as well as on corporate governance matters and corporate reorganizations involving solvent companies, in addition to distressed M&A transactions and the acquisition of distressed assets.
He has also developed significant experience in debt trading transactions and financial debt restructurings carried out through the various statutory tools for regulating corporate crisis and insolvency, advising banks and financial intermediaries, debtor companies, and investment funds or other industrial investors.

Advised an investor, acting as financial creditor, in connection with the acquisition of a leading group operating in the agri-food sector. The transaction, carried out in the context of the negotiated settlement of the company’s crisis (composizione negoziata della crisi), involved the investor acquiring the receivables arising from medium- to long-term mortgage-backed financing agreements and subsequently converting that debt into share capital, thereby obtaining a controlling equity stake in the company. The investor further provided additional financing to the company, thus securing the implementation of the financial restructuring and ensuring the company’s direct going-concern continuity.

Luca advised the founding shareholders of a major Italian pharmaceutical company on their reinvestment alongside private equity funds, as part of an equal (50-50) partnership.
In connection with the same extraordinary transaction, Luca also advised the parent company — a pharmaceutical CDMO (Contract Development and Manufacturing Organization) specialising in the development and manufacturing of drugs on behalf of third parties, with a distinctive positioning in complex generic molecules and in the respiratory and ophthalmic therapeutic areas. The company operates globally, serving a diversified B2B client base that includes leading international pharmaceutical companies, and exports to over 40 countries. The assistance also covered the group’s subsidiaries, engaged in the direct sale of medicines to pharmacies and wholesalers, and in the development and manufacturing of supplements and medical devices.

Luca advised the majority shareholder on the entry of a new investor into the share capital of a subsidiary active in the production of machinery for the extraction and separation of liquids by centrifugal force, with offices in Europe and North and South America. The transaction was carried out through the subscription of a capital increase reserved to the new investor, resulting in its entry as majority shareholder of the target company, with the pre-existing shareholders remaining in the shareholder base.
In this context, Luca also advised the target company on the investment, working as part of the team on the drafting and negotiation of the contractual documentation relating to the investment agreement, the shareholders’ agreement, the new by-laws and the ancillary documents.
