We assist clients at every stage of the transaction: planning of the financial and tax structure, organisation and coordination of due diligence activities, negotiation and drafting of agreements, shareholders’ agreements and articles of association, as well as during the pre-closing, closing and post-closing phases.

In the commercial field, we assist clients in the negotiation, drafting and management of commercial contracts and agreements with customers, suppliers, distributors, agents and franchisees, as well as in the structuring and review of distribution networks, including workshops, also in international contexts.

We also provide advice in relation to financial transactions and extraordinary finance functional to corporate transactions, including corporate financing and acquisition finance, drawing on the synergy with the Firm’s other areas of expertise.

Finally, we assist start-ups and innovative businesses throughout their growth journey, from the start-up phase to development and the attraction of investment, providing support on corporate structure, governance, contracts, extraordinary transactions and relationships with investors and industrial partners.
